These terms summarize the commercial rules for agencies and specialists referring new paying merchants to Larkis apps. A partner must be approved in writing before earning commission.
Eligibility and approval
The program is intended for legitimate Shopify agencies, developers, consultants, and implementation specialists. Larkis may approve or reject an application at its discretion. Participation is non-exclusive and does not create employment, agency, franchise, or authority to bind Larkis.
Referral attribution
A merchant must be new to the relevant Larkis app and registered as your referral before installing or beginning a trial, unless Larkis confirms otherwise in writing. Existing users, previously active leads, duplicate referrals, self-referrals, and fraudulent or related-party transactions do not qualify. If multiple partners claim a referral, Larkis will determine attribution using its records and the documented introduction.
First-payment bonus
After a qualified referred merchant completes any trial and makes the first successful paid monthly app subscription payment, the approved partner earns a one-time bonus equal to 100% of eligible net app subscription revenue received by Larkis for that first payment.
Recurring commission
The partner then earns 20% of eligible net app subscription revenue received by Larkis from each subsequent successful payment by that referred merchant while the merchant remains an active paying customer and the partnership remains in good standing.
Net revenue and adjustments
Eligible net revenue excludes taxes, refunds, credits, chargebacks, discounts funded by Larkis, payment processing adjustments, fraudulent payments, and amounts not actually received. Reversed payments may be deducted from future commission.
Payouts and records
The payout schedule, payment method, currency, minimum payout threshold, invoicing requirements, and any required tax documentation will be agreed in writing during onboarding. Partners are responsible for their own taxes and accurate payment details.
Marketing standards
Partners must describe Larkis accurately, follow applicable advertising and privacy laws, disclose the commercial relationship where required, and avoid spam, misleading claims, trademark bidding, impersonation, or promises not approved by Larkis. Brand assets may be used only for approved referral activity.
Termination and changes
Either party may end participation by written notice. Larkis may suspend or terminate immediately for fraud, abuse, unlawful conduct, or material breach. Unless termination results from misconduct, eligible commission already earned before termination remains payable under the agreed payout rules. Future program changes will not reduce commission already earned.
